These Terms of Service ("Terms") govern your access and use of the website owned and operated by YIWU HUAYU IMPORT & EXPORT CO.,LTD (hereinafter referred to as "Huayu", "we", "us"). By accessing our website, sending inquiries or using our sourcing & export services, you agree to abide by all terms below. If you do not agree with these terms, please stop using our website and services immediately.

1. Service Description

Huayu provides one-stop China sourcing agency services for global buyers, including product searching, supplier audit, price negotiation, quality inspection, cargo consolidation, packaging customization, international shipping, factory visiting arrangement and business translation support. All services are subject to separate communication, quotation and written confirmation between both parties.

2. User Obligations

• You shall provide true, legal and complete business information when contacting us for cooperation.
• You promise all products you purchase are legal, and will not involve counterfeit, infringing, prohibited, dangerous goods violating Chinese or your local import laws.
• You shall bear full responsibility for import customs clearance, tariff, local inspection and related costs in your destination country.
• You shall not use our website or service for illegal activities, fraud, infringement or spam sending.

3. Intellectual Property Statement

• All texts, pictures, logos, layout and content on this website are the intellectual property of Huayu. No one may copy, reproduce, modify or republish without our written permission.
• Customers provide trademarks, logos and design files for private label packaging; you warrant you own the legal intellectual property rights of these materials, and shall compensate all losses caused by trademark / copyright infringement disputes.

4. Quotation, Payment & Order Rules

• All quotations provided by us are valid within the agreed period; unit price may adjust due to raw material, exchange rate or logistics cost fluctuation after expiration.
• Deposit and balance payment terms shall be confirmed by both parties before mass production; production schedule will only start after receiving your deposit.
• Customer shall inspect goods in time before shipment; if you entrust us to conduct pre-shipment inspection, our inspection report serves as reference basis for delivery standards.

5. Limitation of Liability

• We will arrange qualified suppliers and strictly follow inspection standards, but we do not bear losses caused by customer's incorrect product specifications, design errors or unreasonable quality requirements.
• We are not liable for delays or losses caused by force majeure, including factory production shutdown, natural disaster, port congestion, customs inspection, international logistics delay, policy adjustment, epidemic control, etc.
• Our maximum compensation liability for any dispute shall not exceed the total service fee we charge for this order.

6. Website Usage Rules

Users shall not carry out the following behaviors:

• Hack, attack, scan or destroy the normal operation of our website;
• Mass collect website information for commercial competition without authorization;
• Release illegal, violent, discriminatory, infringing or spam information through our contact channel.

7. Third-Party Platforms

The website contains links to WhatsApp, Google, social media and other third-party platforms. We do not control their services and policies, and shall not be responsible for any losses arising from your use of third-party tools.

8. Modification of Terms

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People's Republic of China. Any dispute arising from website access or service cooperation shall first be resolved through friendly negotiation; if negotiation fails, both parties agree to file litigation in the people's court of Yiwu City, Zhejiang Province, China.
